What is Addition of Director?

A Director is an individual person, who is a member of the Board of Directors. Directors are entrusted with multiple powers and responsibilities under the Companies Act, 2013. 

A Director can be appointed through due process by the Board of Directors or by Shareholders:

  • Minimum Directors Needed: Private Company- 2; Public Company- 3; One Person Company- 1
  • A Company can appoint as many Directors as needed
  • A Director need not be a shareholder. He can be an Individual, who is a Major and is not disqualified by law to become a Director
  • A director can be Executive (Employee) Director / Non-Executive (Advisor) Director / Independent Director

Multiple types of Directors include:

  • Non-Executive Director (Advisor Director)
  • Managing Director
  • Additional Director (Appointed by Board of Directors, for the short term)
  • Alternate Director (Appointed in place of another Director, who is resident outside India)
  • Executive Director (Employee Director)
  • Women Director
  • Independent Director (Director not holding any interest in the Company, appointed in governance role)
  • Nominee Director (Nominee of any Creditor / Lender appointed on to the Board of Company)
